1. Acceptance of Terms


By downloading, installing, accessing, or using the Babe Wallet mobile application ("App"), you ("User," "you," or "your") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Babe Finance & AI, a division of AV Ecosystem ("we," "our," or "us").

2. Description of Service


Babe Wallet is a non-custodial, decentralized cryptocurrency wallet that enables users to:

  • Generate and manage cryptocurrency wallet addresses
  • Store, send, and receive digital assets across multiple blockchain networks
  • View real-time market data, portfolio balances, and transaction history
  • Swap tokens through integrated decentralized exchange aggregators
  • Interact with decentralized applications (dApps) via the in-app browser

The App supports Ethereum, BNB Smart Chain, Polygon, Arbitrum, Optimism, Base, Linea, and other EVM-compatible blockchains.


3. Non-Custodial Nature


3.1 You Control Your Assets


Babe Wallet is a non-custodial wallet. This means:

  • You are the sole custodian of your private keys, recovery phrase (seed phrase), and master password.
  • We do not store, access, or have the ability to recover your private keys or recovery phrase.
  • We cannot reverse, cancel, or modify any blockchain transactions.
  • We cannot freeze, restrict, or seize your digital assets.

3.2 Recovery Phrase Responsibility


Your 12-word or 24-word recovery phrase is the only way to restore access to your wallet. You are solely responsible for:

  • Safely recording and storing your recovery phrase
  • Keeping your recovery phrase confidential and secure
  • Never sharing your recovery phrase with anyone, including our support team

⚠️ WARNING: If you lose your recovery phrase and cannot access your device, your digital assets will be permanently and irreversibly lost. Babe Finance & AI cannot recover them under any circumstances.

4. Eligibility


To use Babe Wallet, you must:

  • Be at least 18 years of age (or the legal age of majority in your jurisdiction)
  • Have the legal capacity to enter into binding agreements
  • Not be a resident of any jurisdiction where cryptocurrency use is prohibited
  • Not be listed on any government sanctions list or subject to trade restrictions
  • Comply with all applicable local, national, and international laws and regulations

5. User Responsibilities


By using the App, you agree to:

  • Secure your credentials: Maintain the confidentiality of your recovery phrase, PIN, master password, and any other authentication credentials.
  • Verify transactions: Carefully review all transaction details (recipient address, amount, network, gas fees) before confirming. Blockchain transactions are irreversible.
  • Use legal funds: Ensure that all digital assets managed through the App are obtained lawfully and in compliance with applicable regulations.
  • Keep your device secure: Maintain appropriate security on your mobile device, including software updates, antivirus protection, and screen lock.
  • Back up your data: Regularly back up your recovery phrase and store it in a secure, offline location.

6. Prohibited Activities


You agree not to use Babe Wallet for:

  • Money laundering, terrorist financing, or any illegal financial activities
  • Fraud, deception, or any activity intended to harm others
  • Circumventing economic sanctions or trade embargoes
  • Distributing malware, viruses, or harmful code
  • Attempting to reverse-engineer, decompile, or disassemble the App
  • Exploiting vulnerabilities, bugs, or security weaknesses in the App
  • Interfering with or disrupting the integrity of blockchain networks
  • Impersonating any person or entity, or misrepresenting your affiliation
  • Any activity that violates applicable laws or regulations in your jurisdiction

We reserve the right to report suspicious activities to the relevant authorities.


7. Third-Party Services


7.1 Blockchain Networks


The App interacts with decentralized blockchain networks that are not owned, controlled, or operated by us. We are not responsible for:

  • The operation, security, or availability of any blockchain network
  • Transaction delays, failures, or increased gas fees
  • Hard forks, protocol changes, or network upgrades
  • Loss of funds due to smart contract vulnerabilities

7.2 Token Swap Services


Token swaps are facilitated through third-party decentralized exchange aggregators (such as 0x Protocol and OpenOcean). We do not:

  • Guarantee swap execution, pricing, or availability
  • Act as a counterparty in any trade
  • Hold or custody any funds during swaps

7.3 Market Data


Price data, charts, and market information are provided by third-party sources (CoinGecko, Binance, CoinMarketCap, etc.) and are displayed for informational purposes only. We do not guarantee the accuracy, completeness, or timeliness of this data.


7.4 External Links & dApps


The in-app browser may allow access to third-party websites and decentralized applications. We are not responsible for:

  • The content, privacy practices, or security of third-party websites
  • Any losses incurred from interacting with third-party dApps or smart contracts
  • The accuracy of information provided by external sources

8. Intellectual Property


8.1 Ownership


The Babe Wallet App, including its design, code, branding, logos, and user interface, is the intellectual property of Babe Finance & AI / AV Ecosystem and is protected by applicable intellectual property laws.


8.2 License


We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.


8.3 Restrictions


You may not:

  • Copy, modify, or distribute the App or any part thereof
  • Use the Babe Wallet branding, name, or logo without prior written consent
  • Create derivative works based on the App
  • Sublicense, sell, or commercially exploit the App

9. Fees & Charges


9.1 App Usage


Babe Wallet is free to download and use. We do not charge subscription fees or monthly payments.


9.2 Network Fees (Gas)


All blockchain transactions require network fees (commonly known as "gas fees"). These fees are:

  • Determined by the respective blockchain network, not by us
  • Paid directly to network validators/miners
  • Non-refundable once a transaction is submitted

9.3 Swap Fees


Token swap transactions may include fees charged by the third-party decentralized exchange protocol. These fees are separate from and in addition to network gas fees.


10. Risks & Disclaimers


10.1 Cryptocurrency Risks


You acknowledge and accept that:

  • Volatility: Cryptocurrency values can fluctuate significantly and may result in substantial financial losses.
  • Regulatory Risk: Cryptocurrency regulations vary by jurisdiction and may change at any time, potentially affecting your ability to use or trade digital assets.
  • Technology Risk: Blockchain technology is evolving, and there are inherent risks including but not limited to bugs, vulnerabilities, and network failures.
  • Irreversibility: Blockchain transactions cannot be reversed, cancelled, or refunded once confirmed.
  • Loss of Access: Losing your recovery phrase, PIN, or master password may result in permanent and irreversible loss of your digital assets.

10.2 No Financial Advice


Nothing in the App constitutes financial, investment, legal, or tax advice. Market data, prices, and charts are provided for informational purposes only. You should consult qualified professionals before making any financial decisions.


10.3 No Warranty


The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to:

  • Merchantability or fitness for a particular purpose
  • Uninterrupted, error-free, or secure operation
  • Accuracy or reliability of any information displayed
  • Compatibility with all devices or operating systems

11. Limitation of Liability


To the maximum extent permitted by applicable law, Babe Finance & AI, AV Ecosystem, and their officers, directors, employees, agents, and affiliates shall not be liable for:

  • Any direct, indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or digital assets
  • Unauthorized access to your wallet due to negligence in securing your credentials
  • Errors, delays, or interruptions in blockchain network operations
  • Actions or omissions of third-party service providers
  • Any damages arising from your use of or inability to use the App

Your sole remedy for dissatisfaction with the App is to discontinue use and uninstall it.


12. Indemnification


You agree to indemnify, defend, and hold harmless Babe Finance & AI, AV Ecosystem, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights

13. Updates & Modifications


13.1 App Updates


We may release updates to the App from time to time to improve functionality, security, or performance. While we recommend keeping the App updated, we do not guarantee backward compatibility with all versions.


13.2 Terms Modifications


We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms within the App or on our website. Your continued use of the App after any modifications constitutes acceptance of the revised Terms.


14. Termination


14.1 By You


You may stop using the App at any time by uninstalling it from your device. Your digital assets remain accessible through your recovery phrase on any compatible wallet.


14.2 By Us


We reserve the right to discontinue or modify the App at any time without prior notice. In such event, your recovery phrase will still allow you to access your funds through other compatible wallet applications.


15. Governing Law & Dispute Resolution


15.1 Governing Law


These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AV Ecosystem is registered, without regard to its conflict of law provisions.


15.2 Dispute Resolution


Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration in accordance with applicable arbitration rules.


15.3 Class Action Waiver


You agree that any disputes will be resolved on an individual basis and that you waive any right to participate in a class action or representative proceeding.


16. Severability


If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.


17. Entire Agreement


These Terms, together with our Privacy Policy, constitute the entire agreement between you and Babe Finance & AI regarding the use of Babe Wallet and supersede any prior agreements or understandings.
