## 1. Scope & Objective
Babe Finance ("Company") provides a B2B Partner Gateway Portal ("Portal") for referral partners ("Partners" or "You") to submit projects for listing and earn commission splits. This Agreement defines the legal constraints, data collection policies, and strict codes of conduct governing your participation in the referral network.

## 2. Strict Code of Conduct & Abuse Prevention
Partners must act with absolute integrity and honesty. The Company enforces a zero-tolerance policy against any form of deception, fraud, or system abuse.
### 2.1 Prohibited Activities
You are strictly prohibited from engaging in the following behaviors:
1. **Fake Listing Submissions:** Submitting projects that have not agreed to be listed or presenting non-existent projects.
2. **Transaction Verification Fraud:** Submitting fake, altered, reused, or copied transaction hash IDs to claim unearned commissions or splits.
3. **Identity Impersonation:** Presenting yourself as a representative of another coin project, or using multiple partner accounts to circumvent system limits.
4. **Metadata Manipulation:** Artificially inflating coin project metrics, providing fake logo URLs, or false contract addresses.
5. **Gateway Bypass & Unauthorized Access:** Attempting to bypass security verification gateways, execute unauthorized database modifications, or reverse-engineer Company proprietary software.
### 2.2 Legal Redress & Consequences of Breach
Any Partner found violating this Code of Conduct will face immediate and severe consequences:
* **Account Revocation:** Instant and permanent termination of the Partner's access keys and database credentials.
* **Forfeiture of Earnings:** Absolute forfeiture of all pending payouts, commissions, and accumulated referral splits.
* **Legal Action:** Babe Finance reserves the right to pursue full civil and criminal legal action under international cyber fraud and contract laws.
* **Indemnification:** You agree to fully indemnify, defend, and hold harmless Babe Finance from any financial, legal, or reputational damages arising from your fraudulent submissions.

## 3. Data Collection & Privacy Practices
To secure the Portal and monitor performance, Babe Finance collects and processes specific Partner data.
### 3.1 Collected Data Points
We collect and store the following data:
* **Identification Details:** Partner Full Name, email address, and EVM Wallet Address.
* **Communication IDs:** Telegram Username and Telegram Chat ID (acquired during the security linking process).
* **System Metrics:** Rolling session usage counts, timestamps of last session refreshes, and access logs to prevent brute-force attempts.
* **Financial Data:** Client transaction records and split commission history.
### 3.2 Data Security
Your credentials, wallet, and passcode keys are protected using industry-standard encryption, strict access controls, and proprietary database protection mechanisms to ensure absolute confidentiality. Babe Finance does not share partner contact information or credentials with third parties, except as required by law enforcement in cases of fraud investigation.

This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to conflicts of law principles. Any legal disputes shall be settled exclusively in the courts of Singapore.
